These Terms of Use ("Terms") are a legally binding electronic agreement between you ("User," "you," or "your") and Prospectio Ltd, a company incorporated in Ireland ("Prospectio," "we," "us," or "our"), governing your access to and use of the Prospectio website, application, and related services.

1. Electronic contract & acceptance

These Terms are an electronic contract formed under applicable Irish and EU law governing electronic contracts and transactions, including the Electronic Commerce Act 2000 and Regulation (EU) No 910/2014 (eIDAS). No physical or electronic signature is required. Your acceptance is indicated by accessing or using the Website or Services, or by clicking "I agree," creating an account, or otherwise affirmatively accepting these Terms.

2. About Prospectio

These Terms apply to the website located at https://prospectio.ai, including any related subdomains, mobile websites, or applications (collectively, the "Website").

Prospectio Ltd, a company incorporated in Ireland. Prospectio provides a LinkedIn and email outreach automation platform, including tools for campaign management, personalisation, and related services (the "Services").

3. Entire agreement

These Terms, together with the Privacy Policy, our Cancellation & Refund Policy, and any additional terms, guidelines, or notices posted on the Website (collectively, the "Agreement") constitute the entire agreement between you and Prospectio regarding the use of the Website and Services.

4. Interpretation

Singular includes plural and vice versa. Headings are for convenience only. References to individuals include their legal heirs and permitted assigns; references to entities include affiliates, successors, and permitted assigns.

5. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

6. Account registration & security

a. Account creation

Some Services require account registration. You agree to provide accurate, complete, and current information when creating an account ("Account").

b. Account responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.

c. Security obligations

You must promptly notify Prospectio of any unauthorised use or security breach. Prospectio is not liable for losses caused by your failure to safeguard your Account.

d. Suspension or termination

We may suspend or terminate your Account if information provided is false or misleading, or if you violate these Terms. Account suspension or termination does not entitle you to compensation or refunds unless otherwise required by law or by our Cancellation & Refund Policy.

7. Services

Prospectio provides software tools for LinkedIn automation, campaign orchestration, and personalised outreach workflows. Prospectio does not control your LinkedIn account, guarantee campaign performance or results, or assume responsibility for third-party platform policies (including LinkedIn).

8. Acceptable use

You agree not to:

• violate any applicable law or regulation;
• infringe intellectual property rights;
• harass, abuse, threaten, or defame others;
• upload unlawful, obscene, or misleading content;
• scrape, reverse engineer, or circumvent platform safeguards;
• use automated systems (bots, spiders, scrapers) except as expressly permitted;
• misrepresent your identity or affiliation;
• use the Services for prohibited outreach or spam activities.

We reserve the right to investigate and take enforcement action for violations.

9. Third-party links & content

The Website may contain links to third-party sites. Prospectio does not control these sites and is not responsible for their content, policies, or practices. Accessing third-party sites is at your own risk.

10. Promotions & discounts

Prospectio may offer promotions, discounts, or coupons at its sole discretion. Such offers may change or end at any time and do not create any entitlement or obligation.

11. Electronic communications

By using the Services, you consent to receive communications from us electronically, including notices, disclosures, and updates.

12. Intellectual property

All trademarks, logos, software, and content are owned by Prospectio or its licensors. No licence is granted to you except as expressly stated. Unauthorised use is prohibited.

13. Disclaimer of warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPECTIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Indemnification

You agree to indemnify and hold harmless Prospectio, its officers, directors, employees, and affiliates from claims, damages, or losses arising from your use of the Services or your violation of these Terms or applicable law.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROSPECTIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16. Modifications

We may update these Terms from time to time. Material changes will be posted with reasonable notice. Continued use after changes constitutes acceptance.

17. Severability

If any provision is found unenforceable, the remaining provisions remain in full force.

18. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, sale, or restructuring.

19. Governing law & dispute resolution

These Terms are governed by the laws of Ireland, without regard to conflict-of-law principles. The courts of Ireland shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and you consent to such jurisdiction.

20. Email & outreach compliance

a. Consent requirement

You agree to use Prospectio only for outreach to recipients who have provided lawful consent where required.

b. Prohibited use

You shall not use Prospectio to send unlawful spam or to violate the GDPR, the ePrivacy Regulations (S.I. No. 336 of 2011), the CAN-SPAM Act (where recipients are in the United States), or other applicable email, privacy, or anti-spam laws.

c. Technical standards

Emails sent through Prospectio may utilise TLS/SSL and SPF, DKIM, and DMARC authentication.

d. Enforcement

Prospectio may suspend or terminate accounts for violations. You are solely responsible for compliance and any resulting liabilities.

Prospectio is not endorsed by, affiliated with, or an official product of LinkedIn Corporation. All LinkedIn™ logos and trademarks are the property of LinkedIn Corporation. Using automation tools may not comply with LinkedIn's User Agreement, and you understand that you use the Services at your own discretion and risk.
